Vaxcyte Launches Dual $500M Stock and Debt Offerings
Vaxcyte is raising up to $1 billion through parallel public offerings of common stock and convertible notes due 2032.
Vaxcyte, Inc., a clinical-stage vaccine developer listed on Nasdaq under the ticker PCVX, announced Monday the simultaneous launch of two separate public offerings totaling $1 billion, comprising $500 million in common stock and pre-funded warrants alongside $500 million in convertible senior notes maturing in 2032.
The San Carlos, California-based company is conducting both offerings under registrations filed with the Securities Act of 1933. Vaxcyte has structured the transactions independently, meaning neither offering is conditional on the other closing successfully — a provision that gives the company flexibility if market conditions favor one instrument over the other.

Underwriters on both deals have been granted 30-day overallotment options: up to $75 million in additional common stock shares and up to $75 million in additional convertible notes, potentially lifting total proceeds to $1.15 billion if both options are exercised in full. All securities in both offerings are being sold directly by Vaxcyte, with no secondary component.
The capital raise signals an aggressive funding push by Vaxcyte as it advances its vaccine pipeline through clinical development, a stage that typically demands substantial cash resources before any product generates revenue. The company cautioned investors that completion of either offering remains subject to market and other conditions, and that terms, timing, and final size are not guaranteed.
